These Terms & Conditions govern access to and use of myCleverFy, the digital orchestration platform operated by Clevera LLC ("Clevera", "we", "us"). By creating an account or using the service you agree to be bound by these terms.
1. The service
myCleverFy provides mass messaging, predictive AI and document generation tools delivered as a subscription service ("the Service"). We may add, change or retire features at any time, and will give reasonable notice before changes that materially reduce functionality.
2. Accounts & eligibility
You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account, including actions taken by users you invite. Accounts may not be shared across unrelated organizations.
3. Credits, billing & renewal
Plans are billed monthly or annually in advance and consume credits at a rate of one credit per SMS or email sent. Unused credits do not roll over unless stated in your order form. Subscriptions renew automatically unless cancelled before the renewal date; fees are non-refundable except as required by law.
4. Acceptable use
You may not use the Service to send unsolicited communications, malware, or content that is unlawful, defamatory or infringing. We may suspend accounts that generate abuse complaints, violate carrier or ESP policies, or put platform deliverability at risk for other customers.
5. Customer data
You retain ownership of the data you upload, including recipient lists and templates. You grant Clevera a limited license to process that data solely to provide the Service, and you warrant you have the necessary rights and consents to send communications to your recipients.
6. Intellectual property
Clevera retains all rights in the myCleverFy platform, including software, templates, predictive models and documentation. Nothing in these terms transfers ownership of that intellectual property to you.
7. Service levels & support
Support response times and uptime commitments applicable to your plan are described in the order form and, where applicable, a separate Service Level Agreement. Credits are issued for confirmed SLA breaches as described there.
8. Suspension & termination
Either party may terminate for convenience at the end of the current billing period. We may suspend or terminate immediately for non-payment, security risk, or material breach of these terms, including acceptable-use violations.
9. Liability
To the maximum extent permitted by law, Clevera's aggregate liability under these terms is limited to the fees paid for the Service in the twelve months preceding the claim, and neither party is liable for indirect or consequential damages.
10. Changes to these terms
We may update these terms to reflect changes to the Service or applicable law. We will notify account administrators of material changes at least 30 days in advance; continued use after that date constitutes acceptance.
